Terms of Service

These Terms of Service ("Terms") govern your access to and use of Stackadilly's cloud cost management services, as well as any related websites, applications, or integrations (collectively, the "Services"). By using the Services, you agree to be bound by these Terms.

1. Overview of Services

1.1 Cost Visibility. Stackadilly scans your AWS accounts and displays your resources and their costs in an interactive map, so you can see what is driving your AWS bill.

1.2 Non-Production Shutdown. Stackadilly helps you shut down non-production stacks when they are not needed and start them back up on request, via a shared web interface and a Slack app. Stackadilly keeps stacks off once requested running time has expired.

1.3 Cost Anomaly Detection. Stackadilly monitors your AWS spending and alerts you to unusual cost changes, in many cases before they appear in your AWS bill.

1.4 Cost Reporting. Stackadilly sends daily Slack reports showing your team which costs are changing and in which direction.

1.5 Professional Services. Stackadilly separately offers professional services (such as custom cost modelling, savings analysis, and code deliverables). Professional services are not governed by these Terms and are subject to a separate agreement between you and Stackadilly.

2. Account Setup & AWS Roles

2.1 To use the Services, you must configure a Stackadilly IAM role in your AWS account granting, at a minimum, SecurityAudit and AWSBillingReadOnlyAccess permissions, allowing Stackadilly read access to infrastructure metadata and billing data.

2.2 By using the Services, you agree to maintain this role and these minimum permissions for as long as you use the Services, to ensure that no Service Control Policies (SCPs) or other policies prevent Stackadilly from using this access, and to resolve any policy issues promptly should they arise.

2.3 Some features of the Services require additional policy access beyond the minimum permissions described above. Granting these additional permissions is optional, but excluding them will degrade or disable the functionality that depends on them. You are responsible for ensuring any additional permissions you provide accurately reflect your intended scope and comply with your internal policies.

3. Customer Responsibilities

3.1 Stack Configuration. Although Stackadilly makes its best effort to help you identify and organize resources into stacks, you are solely responsible for correctly labeling and excluding production resources from shutdown activities.

3.2 Sequencing Tools. Stackadilly provides sequencing tools to aid in startup processes. You acknowledge and agree that Stackadilly is not liable for any errors or failures during startup and that you should have qualified engineers on call to handle troubleshooting during initial setup.

3.3 Cost Estimates. Cost and savings figures displayed by the Services are estimates based on the data available. It is your responsibility to evaluate any decisions based on these figures with engineers who understand your infrastructure.

4. Payment & Fees

4.1 Free Trial. We offer a two-week free trial, after which your paid subscription begins.

4.2 Monthly Fee. Following the free trial, you agree to pay a monthly fee equal to 0.8% of your AWS bill. This fee covers all features of the Services, including shutting down and starting up non-production resources. No additional fee is charged based on the amount of savings achieved.

4.3 Payment terms, frequency, and method will be communicated to you during setup. Stackadilly reserves the right to suspend or terminate your access to the Services for overdue or unpaid balances.

5. Data Use & Confidentiality

5.1 Stackadilly does not share your account or infrastructure data with third parties except as required by law or to provide the Services as described in these Terms.

5.2 You grant Stackadilly the right to internally access and review your resource data solely to operate and improve the Services and verify the accuracy of cost and savings calculations.

6. Disclaimers & Limitation of Liability

6.1 The Services are provided "as is" and "as available." To the fullest extent permitted by law, Stackadilly disclaims all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

6.2 Stackadilly shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from your use of the Services, including but not limited to downtime.

6.3 You agree to indemnify, defend, and hold Stackadilly harmless from any claims arising out of or related to your use of the Services, including violation of these Terms.

7. Modifications to the Terms

Stackadilly may update these Terms from time to time. If we make material changes, we will provide notice (e.g., by email or an in-app notification). Your continued use of the Services after the revised Terms have become effective indicates your acceptance of the updated Terms.
