Terms of Service

These Terms of Service ("Terms") govern your access to and use of Stackadilly's services, including Stackadilly Analyze ("Analyze") and Stackadilly Optimize ("Optimize"), as well as any related websites, applications, or integrations (collectively, the "Services"). By using the Services, you agree to be bound by these Terms.

1. Overview of Services

1.1 Analyze scans Customers' AWS accounts and displays resources in a unique interactive map. Analyze is provided free of charge.

1.2 Optimize assists in shutting down non-production resources and offers tools to spin them back up via a web interface and a Slack app. Optimize calculates cost savings based on a comparison to 24/7 running costs using one-year, no-upfront reserved instances, and charges 12% of the total amount saved.

2. Account Setup & AWS Roles

2.1 To use Analyze, you must configure a role in your AWS account grantingSecurityAudit andAWSBillingReadOnlyAccesspermissions, allowing Stackadilly read access to infrastructure metadata only.

2.2 To use Optimize, you must provide additional custom policies scoped to the relevant resources in your AWS environment. You are responsible for ensuring these permissions accurately reflect your intended scope and comply with internal policies.

3. Customer Responsibilities

3.1 Stack Configuration. Although Stackadilly makes its best effort to help you identify and organize resources into stacks, you are solely responsible for correctly labeling and excluding production resources from shutdown activities.

3.2 Sequencing Tools. Stackadilly provides sequencing tools to aid in startup processes. You acknowledge and agree that Stackadilly is not liable for any errors or failures during startup and that you should have qualified engineers on call to handle troubleshooting during initial setup.

3.3 Cost Savings Recommendations. Recommendations provided by Optimize are estimates based on the data available. It is your responsibility to evaluate these recommendations with engineers who understand your infrastructure.

4. Payment & Fees

4.1 If you opt to use Optimize, you agree to pay 12% of the total cost savings achieved compared to running those resources 24/7 on one-year, no-upfront reserved instances. You will be charged periodically based on the amount of savings realized.

4.2 Payment terms, frequency, and method will be communicated to you during setup. Stackadilly reserves the right to suspend or terminate your access to Optimize for overdue or unpaid balances.

5. Data Use & Confidentiality

5.1 Stackadilly does not share your account or infrastructure data with third parties except as required by law or to provide the Services as described in these Terms.

5.2 You grant Stackadilly the right to internally access and review your resource data solely to improve the Services and verify the accuracy of cost-savings recommendations.

6. Disclaimers & Limitation of Liability

6.1 The Services are provided "as is" and "as available." To the fullest extent permitted by law, Stackadilly disclaims all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

6.2 Stackadilly shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from your use of the Services, including but not limited to downtime.

6.3 You agree to indemnify, defend, and hold Stackadilly harmless from any claims arising out of or related to your use of the Services, including violation of these Terms.

7. Modifications to the Terms

Stackadilly may update these Terms from time to time. If we make material changes, we will provide notice (e.g., by email or an in-app notification). Your continued use of the Services after the revised Terms have become effective indicates your acceptance of the updated Terms.
